Foreign investors looking at Johor — especially Chinese-speaking investors from China, Hong Kong and Singapore — hit a wall of English and Malay acronyms the moment they start reading: MIDA, MITI, SSM, Sdn Bhd, WRT, ESD, ICA, RPGT, MM2H. The terms are not difficult once they are spelled out, but no single page usually does that in Chinese. This guide is that page. Each entry gives the abbreviation, its full name, and a short explanation of what it is and why it matters to you. Agencies & Government Bodies
These are the bodies a foreign project passes through. You will see their names on approvals, licences and one-stop-centre paperwork.

| IMFC-J | Invest Malaysia Facilitation Centre Johor | The Johor one-stop centre that coordinates MIDA, MITI, state land/utility authorities, DOE and Bomba for an investment project. The best first contact for a serious project. |
| LHDN | Lembaga Hasil Dalam Negeri (Inland Revenue Board) | The federal tax authority — corporate income tax, withholding tax, RPGT and the double-tax treaties are administered here. |
| KPDN | Ministry of Domestic Trade and Cost of Living | Issues the WRT/USS trade licences and sets their capital rules. Relevant to distributive-trade and services businesses, not manufacturing. |
| DOE | Department of Environment (Jabatan Alam Sekitar) | Environmental approvals — a factory needs DOE clearance (and, for some activities, an Environmental Impact Assessment) before it can operate. |
| Bomba | Jabatan Bomba dan Penyelamat (Fire and Rescue Department) | "Bomba" is the everyday name for the fire department. A building/plant needs Bomba fire-safety approval as part of getting its certificate of completion and to operate. |

Company Structure & Licensing
The legal shell you incorporate and the licences that let you actually operate. The single most important distinction here: the WRT/USS trade-licence capital rules do NOT apply to manufacturing — see the company-setup guide.

| WRT | Wholesale, Retail & Trade licence | The KPDN trade licence for foreign-owned distributive-trade businesses, carrying a minimum paid-up capital rule. Applies to trade/retail — NOT to manufacturing. |
| USS | Unregulated Services Sector licence | The counterpart of the WRT for foreign-owned businesses in unregulated services. Like the WRT, it carries a capital rule and does not apply to manufacturing. |
| EP | Employment Pass | The work pass for foreign executives and skilled staff, granted by salary tier. To sponsor EPs a company must meet ESD paid-up-capital minimums. |
| ESD | Expatriate Services Division | The division that manages expatriate Employment Passes and sets the paid-up-capital minimum a company needs to sponsor them (by ownership %). |
| SST | Sales and Service Tax | Malaysia’s consumption tax (replacing the former GST). A company registers for SST once it crosses the registration threshold. |

Incentives & Tax
The terms you meet when MIDA assesses your project for tax incentives, and the main taxes a company and a property owner pay. For the actual rates and how the incentives compare, follow the incentives guide.

| RPGT | Real Property Gains Tax | The tax on gains from selling real property. Rates are higher for short holding periods and for foreign sellers — relevant to a property exit. |
| MOT | Memorandum of Transfer (stamp duty) | The stamp duty on transferring property title. Foreign buyers pay a higher flat rate than citizens — see the property-purchase guide for the current figure. |
| DTA | Double Taxation Avoidance Agreement | A treaty between two countries that reduces withholding tax on cross-border dividends, interest and royalties. Relevant when structuring a holding company. |
| WHT | Withholding Tax | Tax withheld at source on certain payments (interest, royalties, service fees) made to non-residents. DTAs can reduce the rate. |

Is "Sdn Bhd" the same as a "Pte Ltd" or "Ltd"?
Functionally yes. Sendirian Berhad (Sdn Bhd) is Malaysia’s private limited company — a separate legal person with limited liability that can be 100% foreign-owned. It is the direct counterpart of Singapore’s Pte Ltd, the UK’s Ltd, Germany’s GmbH, or a US LLC, and it is the standard vehicle a foreign manufacturer incorporates.
Does a manufacturer need RM1 million in paid-up capital?
No. The RM1 million figure is the minimum paid-up capital for a foreign-owned WRT/USS trade licence — a distributive-trade and services rule administered by KPDN. It does not apply to manufacturing. A manufacturer has no separate statutory paid-up-capital floor; its capitalisation is driven by banking, by ESD rules if it sponsors Employment Passes, and by MIDA’s assessment of qualifying capital expenditure for incentives. What is the difference between MIDA, MITI and SSM?
SSM is the companies registry — you incorporate your company there. MITI is the Ministry of Investment, Trade and Industry, which sets policy and in whose name a manufacturing licence is issued. MIDA is the development authority under MITI that actually assesses and approves manufacturing investments and tax incentives. For a factory project, you register at SSM, then deal with MIDA (often via the IMFC-J one-stop centre) for the licence and incentives.
